Terms and Conditions for the use of the Manufacturing Xchange website
The following Terms and Conditions are set forth as a part of this website and must be read and agreed to for use of the Manufacturing Xchange website. The Terms and Conditions set herein are considered a legal binding agreement between you and Manufacturing Xchange. Upon your acceptance of the Terms and Conditions of mfg-xchange, it is your responsibility to adhere to these terms upon your use of mfg-xchange.com.
Definitions
The following terms are defined for your use in this agreement.
"You", "Your", "Yours", "Buyer", "Bidder", "Seller": refers to you the end user.
"MX", "Mfg-Xchange", "Manufacturing Xchange", "Us", "Our", "Ours", "This Company", "Us": refers to Manufacturing Xchange- KLW Inc.
"Bidders"- Refers to any persons registered as rightful bidders on MX and in good standing with this site with the purpose of (including but not limited to),the buying or trading of manufacturing equipment, surplus or raw materials.
Properly registered bidders on MX understand that all bids placed on this site is a legal and binding contract and must be honored. All Sales are final. The bidder is responsible for arranging payment and all shipping. All items sold on this site are sold "as is", "Where is", "with all the imperfections and Faults". It is up to each bidder to determine if the item(s) they are bidding on meets with their standards of quality. All attempts to ensure that proper descriptions and photos are posted will be made by this site and the "Seller". Mfg-Xchange will not be responsible for any errors and ommisions made by any "Seller". It is the responsibility of the "Bidder" to verify the condition of each item they are bidding on. It shall be the responsibility of the successful bidder to arrange preparation and shipping of their item(s)
Payments
All sales are final. It will be the responsibility of the "Bidder" to make payment within 48 hours by Company check, Bank Wire, Paypal or Credit card. The payment shall be made to MX and will include a 5% buyers premium added onto the final sales price for participating auctions. All auctions with buyers premium will advertise as such. Bidders agree to pay or make arrangements for all shipping and fees associated with said shipping.
Credit Cards
All advertising/sales services provided by Manufacturing Xchange are final and success of items is NOT guaranteed. MX agrees to provide all users with a secure gateway for credit card transactions. MX does not keep, give or sell any credit card or personal information to any 3rd party.
Refunds/Credits
Only those Credit card transactions that are proven/expected to be fraudulent or unauthorized recurring, will be credited to the user. Please submit an email to payments@mfg-xchangeauction.com for more information.
Live Auctions
**Bidders registering for live auctions whether onsite or online simulcast, must provide a copy of letter of credit from their business banking institution before being permitted to submit bids.**
Delinquincy
Any bidder with a payment delinquincy will be considered in breach of these Terms and Conditions and will be prohibited as a company from using this site until payment has been received and verified.
Bidder Information
All Bidders registering on MX agrees to provide the information needed for MX to conduct a thorough check as to the authenticity of the bidder and its representative company.
MX will not provide any bidder information to outside sources for the purposes of marketing.
Conflict Resolution
MX will assist bidders and sellers with all conflicts resulting out of a sale of an item(s). With this act, MX does not guarantee final resolution, only assistance.
"Seller"-Refers to any person(s), Company or entity properly registered and in good standing with MX, with the purpose of selling any manufacturing related equipment, surplus or raw materials.
Properly registered sellers on MX understand that submitting an item(s) to this site for the purpose of selling, is a legal and binding contract and must be honored once a winning bidder has been determined. All sales are final. The seller is responsible for submitting all pertinent and correct information with high resolution photos of each item listed on MX. It is the responsibility of the listing seller to disclose ALL information related to each item(s) including but not limited to, the model, make, age, condition, weight and year purchased.
Payments
All sales are final. It is the responsibility of the seller to pay all listing fees associated with all item(s). These fees may be paid by company check, bank wire, credit card, paypal or MX online gateway. These fees will be determined as such:
Classified Ad: 3 days-$20, 7 days-$35, 10 days-$55, 14 days-$95, 30 days-$175
Online Auction: .99 listing fee and 10% of the final sales price-self list 7.5% List Assist
Dutch Auction: $1.50 listing fee and 12% of the final sales price
Membership: 30 days-$795, 60 days-$1,295, 90 days-$1,995 self list
Onsite Auctions- Refer to seperate agreement
Delinquincy
Any seller or company representative failing to allow access to successful bidder of item(s) for shipping shall be prohibited from using MX until conflict(s) is resolved.
Intellectual Property
All source coding and software used by this site is the intellectual property of Manufacturing Xchange. All attempts to acquire this site through transfer, reverse engineering, duplication is strictly prohibited. Users are not allowed to reproduce or duplicate any part of this site.
Unacceptable Uses of this site
Users are not authorized to partake in any deceptive, disruptive or malicious activity of any kind on this site.
All users are prohibited from taking part in any fraudulent activity including but not limited to, violation of trade secrets, copyright infringments, selling of hazzardous materials, spamming, hacking or any other violation of federal and/or local laws.
All designs, material, text, graphics, photos, software, sound, applications, files and video(s) are the property of Manufacturing Xchange with all rights reserved. No content on this site shall be modified, copied, reproduced, distributed, video-recorded, downloaded or sold without the express written consent by Manufacturing Xchange.
All registered or unregistered trademarks found on Manufacturing Xchange are the property of MX and cannot be used.
Any and all content within this website are the property of MX and shall be considered copyrighted. MX shall not allow release of any copyrighted material contained within this site.
Guarantees
Manufacturing Xchange does not guarantee the accuracy of any item listed on this site.
It is the right of MX to check the authenticity of all sellers and bidders including but not limited to: accuracy of company and company information, phone numbers, addresses, email addresses, D&B numbers and contact information.
This is NOT an absolute site. It is possible that any or all items listed on this site will have a reserve.
All items will be sold As Is, Where Is.
All users will guarantee that any and all information supplied is accurate and correct.
MX will not guarantee access to this site.
All users will guarantee to hold harmless and indemnify MX from any lawsuit based on user negligence and activities.
This website shall be governed by the federal laws of the United States of America and the state of Kansas.
